Corporate Counsel
JOB OVERVIEW:
eAssist Dental Solutions is seeking a full-time attorney to join our Risk Solutions team and draft and negotiate various contracts, ensure legal compliance, manage disputes, research legal issues, and provide legal support to various business units. The ideal candidate will be someone with a thorough understanding of various contracts, including nondisclosure agreements, vendor contracts and employment agreements, as well as regulations in the healthcare industry.
KEY RESPONSIBILITIES:
Contracts & Commercial Strategy
- Draft, review, negotiate, and manage a high volume of commercial agreements, including:
- SaaS and technology agreements
- Vendor and service provider contracts
- Client service agreements
- NDAs, MSAs, SOWs, amendments, and renewals
- Employment, contractor, and consulting agreements
- Serve as the internal authority on contract structure, fallback positions, and risk tolerance.
- Partner with the sales team to support deal velocity while maintaining contracting guardrails.
- Develop and maintain contract templates, playbooks, and negotiation standards.
Compliance & Risk Management
- Advise on and oversee compliance with applicable laws and regulations, including:
- HIPAA and healthcare privacy laws
- Data protection and information security frameworks
- Employment and labor considerations
- State and federal healthcare-adjacent regulations
- Collaborate with IT, security, and operations teams on incident response, vendor risk, and compliance programs.
- Translate regulatory requirements into practical, business-ready guidance.
- Identify emerging legal and regulatory risks and proactively recommend mitigation strategies.
Dispute Management & Advisory
- Support resolution of contract disputes and client/vendor escalations through negotiation, mediation, or outside counsel management when needed.
- Assist with demand letters, claims analysis, and pre-litigation strategy.
- Manage outside counsel selectively and cost-effectively.
- Act as advisor to executive leadership, including our Chief Legal Officer.
- Educate internal teams on legal concepts using language they understand.
- Build scalable legal processes that grow with the business.
REQUIREMENTS, SKILLS & COMPETENCIES:
- Juris Doctor from an accredited law school
- Current state bar license
- Minimum of two years’ experience (five or more years’ experience preferred)
- Experience drafting a variety of contracts
- Experience with HIPAA preferred
- Strong negotiation and problem-solving abilities
- Excellent verbal and written skills
- Outstanding time management skills
- Comfortable working with clients, vendors and executives alike
- Ability to explain complex contract laws in everyday language
- Remote position, but Utah location preferred
COMPENSATION:
$125,000 - $145,000/year DOE
TRAVEL:
Remote position. Travel typically less than 10%.
